Terms of Service

1. Introduction

Welcome to HarborStack, a business management platform operated by HarborStack ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the HarborStack platform, including any associated websites, applications, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Definitions

  • "Platform" refers to the HarborStack software-as-a-service application and all related services.
  • "User" means any individual who accesses or uses the Platform under a Tenant account.
  • "Tenant" refers to the organization or business entity that subscribes to the Platform.
  • "Services" includes all features, functionality, and support provided through the Platform.
  • "Content" means any data, information, or materials uploaded, submitted, or stored on the Platform.
  • "Subscription" refers to the paid access plan selected by the Tenant.
  • "Billing Cycle" refers to the recurring period (monthly or annual) for which subscription fees are charged.
  • "Grace Period" refers to the 30-day view-only access period following a failed payment or subscription expiry.

3. Account Terms

To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that all Users under your Tenant account comply with these Terms
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. Each User must have a unique login; sharing accounts is prohibited.

4. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to any systems
  • Interfere with the proper functioning of the Platform
  • Collect or harvest user data without consent
  • Use the Platform for any illegal employment practices

We reserve the right to suspend or terminate accounts that violate this policy.

5. Subscription Policy

HarborStack offers subscription-based access to the Platform. By subscribing, you agree to the following terms:

  • Subscriptions are available on a monthly or annual billing cycle, as selected at the time of purchase
  • All subscriptions are billed in advance at the beginning of each billing cycle
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date
  • You may upgrade your subscription plan at any time; the upgrade takes effect immediately and you will be charged the prorated difference for the remainder of the current billing cycle
  • Downgrades take effect at the beginning of the next billing cycle; no partial refunds or credits are issued for the current cycle
  • Price changes will be communicated at least 30 days in advance via email or through the Platform and will apply starting from the next billing cycle
  • We reserve the right to modify, discontinue, or introduce new subscription plans at any time with appropriate notice

Free trial periods, where offered, are provided at no charge. No payment is required until the trial ends and you choose to continue with a paid plan. If you do not select a paid plan before the trial expires, your access will be limited.

6. Payment Terms

All fees are quoted in Qatari Riyals (QAR) unless otherwise specified. By subscribing, you agree to the following payment terms:

  • Payment is due upon subscription activation and at the start of each subsequent billing cycle
  • Accepted payment methods are listed on the Platform and may be updated from time to time
  • You are responsible for ensuring your payment method is valid and has sufficient funds
  • If a payment fails, we will attempt to process the charge again and notify you of the failure
  • Continued failure to pay will result in your account entering a 30-day grace period with view-only access
  • After the 30-day grace period, your account will be suspended if payment is not received
  • All fees are exclusive of applicable taxes, which will be charged where required by law

You may update your payment method at any time through the Platform's billing settings.

7. Refund Policy

All subscription fees paid to HarborStack are non-refundable. By subscribing, you acknowledge and agree to the following:

  • Subscription fees are non-refundable, whether your plan is billed monthly or annually
  • No partial or prorated refunds will be issued for unused time within a billing cycle, including if you cancel before the end of your current period
  • Downgrading to a lower-tier plan does not entitle you to a refund or credit for the difference
  • Refunds will only be considered in cases of verified billing errors, such as duplicate charges or incorrect amounts charged due to a system error
  • To report a billing error, you must contact our support team at support@harborstacks.com within 14 days of the charge
  • We reserve the right to review and approve or deny refund requests for billing errors at our sole discretion
  • Service credits issued for downtime under our Service Level Agreement (Section 10) are not redeemable for cash refunds

By completing your subscription purchase, you expressly agree that the subscription fee is non-refundable and that no refund will be issued except in cases of verified billing errors as described above.

8. Cancellation & Termination

You may cancel your subscription at any time through the Platform's billing settings or by contacting our support team. The following terms apply:

Voluntary Cancellation

  • When you cancel, your subscription remains active until the end of the current billing period
  • You will continue to have full access to the Platform until the billing period ends
  • No refunds or credits are issued for the remaining unused time in the billing cycle
  • After the billing period ends, your account will transition to a limited (view-only) state

Failed Payment & Grace Period

  • If your payment method fails at renewal, your account enters a 30-day grace period
  • During the grace period, your account is placed in view-only mode — you may view and export your data, but you cannot create, edit, or perform operational actions
  • If payment is successfully processed during the grace period, full access is restored immediately
  • If payment is not received by the end of the 30-day grace period, your account will be suspended

Account Suspension & Data Retention

  • Suspended accounts cannot access the Platform in any capacity
  • You may request a full data export within 30 days of suspension by contacting support
  • Your data is retained for 90 days following account suspension, after which it is permanently and irreversibly deleted
  • Outstanding fees incurred before cancellation or suspension remain due and payable

Termination by HarborStack

  • We may suspend or terminate your account immediately for violations of these Terms, fraudulent activity, or illegal use
  • We may suspend your account for non-payment as described above
  • We will make reasonable efforts to notify you before termination, except where immediate action is required

To reactivate a cancelled or suspended account, contact our support team at support@harborstacks.com. Reactivation is subject to payment of any outstanding balances and acceptance of the then-current Terms.

9. Data Ownership

You retain all rights to the data you upload to the Platform ("Your Data"). We do not claim ownership of Your Data.

By using the Platform, you grant us a limited license to host, process, and display Your Data solely for the purpose of providing the Services. This license terminates when you delete Your Data or close your account.

In our multi-tenant architecture, Your Data is logically isolated from other Tenants. We implement technical measures to ensure data segregation and security.

10. Service Level Agreement

We commit to maintaining a 99.9% uptime for the Platform, excluding scheduled maintenance and circumstances beyond our control.

  • Scheduled maintenance will be communicated 48 hours in advance
  • Emergency maintenance may occur without prior notice
  • Service credits may be issued for extended outages
  • Support response times vary by subscription tier

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

The Platform is provided "as is" without warranties of any kind, either express or implied.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Platform at least 30 days before they take effect.

Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved in the courts of Qatar. You consent to the exclusive jurisdiction of such courts.
